Terms of Service

These Terms of Service ("Terms") govern your access to and use of pensivebeauty.com and all associated services provided by Pensive Beauty, LLC, doing business as Pensive Beauty® Nanoscience Labs ("Pensive Beauty," "we," "our," or "the Company"), including custom formulation services, commercial account sales, the NanoBase™ AI Chemist tool, sample and DLS verification services, and related consultations (collectively, "the Services"). By accessing our website, requesting a quote, submitting a formulation request, purchasing a product, or engaging our formulation services, you agree to these Terms. If you do not agree, do not use the Services.
1. Definitions
FSA (Formulation Service Agreement): A written proposal, quotation, scope of work, or service agreement issued by Pensive Beauty describing custom formulation deliverables, pricing, and terms for a specific project.
NanoBase™: Pensive Beauty's proprietary tri-domain nanostructured cosmetic delivery architecture and associated know-how.
Deliverable: Any formulation, sample, executive summary, lab procedure, report, or documentation produced under an FSA or through the Services.
Client: Any qualified business entity that requests, purchases, or engages the Services.
2. Formulation Service Agreements
2.1 Formulation Service Agreements (FSAs) offered by Pensive Beauty Nanoscience Labs expire thirty (30) days after the date of issue. Pricing, scope, timelines, and terms stated in an FSA are valid only within that 30-day window. After expiration, any quoted pricing or terms are void and subject to re-quotation at then-current rates.
2.2 An FSA becomes binding only upon written acceptance by the Client and receipt of any deposit or initial payment specified in the FSA. Work does not commence until both conditions are met.
2.3 Scope is limited to what is expressly stated in the accepted FSA. Additional work, revisions beyond the stated allowance, or changes in project direction may require a new or amended FSA and additional fees.
2.4 Timelines stated in an FSA are good-faith estimates and are not guarantees. Delays caused by Client input, raw-material availability, or third-party suppliers extend timelines accordingly.
3. Payments, Deposits, and Refunds
3.1 Deposits and milestone payments are as stated in the applicable FSA. Unless expressly stated otherwise, deposits are non-refundable once formulation work has commenced, as they secure lab time and materials.
3.2 Fees for completed development work, bench time, and materials consumed are earned when the work is performed and are not contingent on the Client's commercial success or decision to proceed to market.
3.3 Invoices are due on the terms stated on the invoice. Late balances may pause active work and delivery of Deliverables until resolved.
4. Products and Services
4.1 Pensive Beauty formulates leave-on and rinse-off cosmetic products for topical application to intact skin and hair using INCI-nomenclature, cosmetic-grade materials. All Deliverables are cosmetic products as defined under the U.S. Federal Food, Drug, and Cosmetic Act and applicable cosmetic regulations.
4.2 Pensive Beauty does not formulate drugs and makes no representation that any Deliverable treats, cures, prevents, mitigates, or diagnoses any disease or condition. The Client is solely responsible for the claims it chooses to make about any finished product.
4.3 Characterization data provided with a Deliverable reflects the specific sample and batch tested at the time of analysis. Particle-size and polydispersity results are measured by dynamic light scattering (DLS). Results may vary with scale, equipment, raw-material lots, and manufacturing conditions outside our lab.
5. Business-to-Business Access and Verification
5.1 NanoBase™ products and formulation services are offered exclusively on a business-to-business (B2B) basis to brands, contract manufacturers (CMs), formulators, and other qualified commercial entities. The Services are not offered or sold to consumers.
5.2 Company verification is required. We may verify your business identity, operations, and facility before accepting an order or engaging services, and we may decline, suspend, or revoke access at our sole discretion.
5.3 Shipping is restricted to verified lab operations and contract manufacturing facilities. We do not ship to residential addresses, PO boxes, mail-forwarding services, freight forwarders, or other non-commercial destinations. Orders with non-qualifying ship-to addresses may be held, re-verified, or cancelled.
6. Regulatory and Manufacturing Responsibility
6.1 Pensive Beauty provides formulation and development services. The Client is responsible for regulatory compliance, product registration, safety assessment, stability validation at production scale, labeling, marketing claims, and good manufacturing practices for any product the Client manufactures, distributes, or sells.
6.2 A formulation developed at bench or pilot scale is a starting point. The Client is responsible for validating performance, stability, and safety under its own production, packaging, and market conditions before commercial release.
7. Intellectual Property
7.1 The NanoBase™ architecture, platform know-how, methods, processes, and all underlying technology are and remain the exclusive property of Pensive Beauty and its parent company. Nothing in an FSA or these Terms transfers ownership of the NanoBase™ platform, its methods, or its trade secrets to any Client.
7.2 Rights to a specific finished formulation delivered to a Client are governed by the applicable FSA. Absent an express written assignment or license in the FSA, the Client receives a right to use the delivered formulation for its own products and does not acquire rights to the NanoBase™ platform itself.
7.3 Brand names, trademarks, logos, site content, reports, and documentation are the property of Pensive Beauty and may not be reproduced, redistributed, or used without written permission. NanoBase™ is a trademark of Pensive Beauty.
8. Confidentiality
Each party agrees to protect the other's non-public information disclosed in connection with the Services and to use it only for the purpose of performing under the applicable FSA. This obligation survives completion or termination of a project. Specific confidentiality terms in a signed agreement or NDA control where they differ from this section.
9. Samples, Reports, and the AI Chemist
9.1 Samples and DLS verification reports are provided to qualified businesses for evaluation. Sample quantities, pricing, and qualification requirements are as stated at the time of order or in the applicable commercial account terms.
9.2 Outputs of the NanoBase™ AI Chemist tool are preliminary, informational starting points for collaboration and are not final, validated, or production-ready formulations. Use of the tool is subject to these Terms and to the usage limits stated on the tool.
10. Disclaimers and Limitation of Liability
10.1 The Services and all Deliverables are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Pensive Beauty disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.
10.2 To the fullest extent permitted by law, Pensive Beauty's total liability arising out of or relating to the Services or any Deliverable shall not exceed the amount paid by the Client to Pensive Beauty for the specific project giving rise to the claim. Pensive Beauty is not liable for indirect, incidental, consequential, or lost-profit damages.
11. Governing Law and Disputes
These Terms and any FSA are governed by the laws of the State of Florida, without regard to conflict-of-law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Florida for any dispute not otherwise subject to an arbitration or dispute clause in a signed FSA.
12. Changes to These Terms
We may update these Terms from time to time. Changes take effect when posted with an updated effective date. Your continued use of the Services after changes are posted constitutes acceptance. The Terms in effect on the date an FSA is issued govern that FSA.
